TERMS AND CONDITIONS
Buyer and visitor terms for the Parivan multi-vendor apparel marketplace — conditions of use, contract formation, disclaimer, limitation of liability, termination, waiver, and incorporation of return, refund, shipping, privacy, acceptable-use and grievance policies
Operated in Nepal only · Single operating establishment · Multi-vendor apparel marketplace (intermediary)
Issued: 03 September 2026 · Document: PARIVAN-POL-TERMS-001 · Version 1.0
COMPLETION REQUIRED. Placeholders in square brackets (for example [COMPANY LEGAL NAME]) must be completed with the registered particulars of the operating company before these documents are published or executed. Until then, these drafts are internal working documents and must not be treated as executed contracts.
PLEASE READ CAREFULLY. By creating an account, clicking “I agree”, placing an order, or using the Platform, you enter a legally binding agreement with Parivan. If you do not agree, do not use the Platform. These Terms are an electronic record under the Electronic Transactions Act, 2063 (2008) and do not require a physical signature.
1. INTRODUCTION AND WHO WE ARE
These Terms and Conditions (“Terms”) govern access to and use of the Parivan website, mobile-web and related tools (the “Platform”) operated by [COMPANY LEGAL NAME], registration no. [COMPANY REGISTRATION NO.], registered office [REGISTERED OFFICE ADDRESS, KATHMANDU], PAN [PAN], VAT [VAT IF REGISTERED], e-commerce listing no. [E-COMMERCE LISTING NO.] (“Parivan”, “we”, “us”). Parivan operates in Nepal only from a single establishment.
Parivan is an online marketplace and intermediary. It enables Buyers to discover and purchase apparel and related goods listed by independent registered Vendors, using the payment methods displayed at checkout. Parivan facilitates listing, order coordination, delivery logistics through third-party partners, complaint handling, exchange/refund processing, and settlement. Parivan does not, unless it expressly sells a Parivan-labelled item, manufacture the goods or take title to Vendor stock.
These Terms incorporate, and you also agree to, the Privacy Policy; Return, Exchange and Refund Policy; Shipping and Delivery Policy; Acceptable Use, Reviews and Content Policy; and Grievance Redressal Policy, each as published on the Platform (together, the “Policies”). Vendors are additionally bound by the Vendor Agreement, which prevails over these Terms on vendor-only matters.
2. ELIGIBILITY
You must be at least 18 years of age and capable of entering a binding contract under the laws of Nepal. If you are a minor, you may use the Platform only with the involvement and consent of a parent or legal guardian who accepts these Terms and is responsible for the order. You must provide accurate, complete and current information. We may refuse, suspend or cancel any account or order that is incomplete, unverifiable, abusive or unlawful.
A. CONDITIONS OF USE
A1. Your account
You are responsible for the confidentiality of your login, OTP and password and for all activity under your account, whether or not authorised by you, except where the activity is caused by our proven systems failure. You must notify us immediately of suspected unauthorised use. We may invalidate credentials, require re-verification, or refuse service without prior notice where we reasonably suspect fraud, COD abuse, or a security risk, and we are not liable for losses arising from that step except to the extent Nepal law requires.
A2. Licence
We grant you a limited, revocable, non-exclusive, non-transferable licence to access the Platform for personal shopping in Nepal. You must not: scrape, mine or harvest listings or prices; frame the Platform; copy the catalogue for a competing service; reverse engineer the software; introduce malware; impersonate any person; or use the Platform for any commercial resale of goods bought on it except with our prior written consent. Unauthorised use terminates this licence immediately.
A3. Marketplace nature and bipartite sale
You acknowledge that: (a) listings, prices, descriptions, photographs (other than any Parivan-verified actual-photo badge process), stock and warranties are supplied by the Vendor; (b) the contract of sale of the product is between you and the Vendor; (c) the contract of payment, where a third-party payment provider is used, is between you and that provider; (d) Parivan is an intermediary under the Electronic Commerce Act, 2081. Nothing in this clause excludes Parivan’s statutory duties to disclose, to process grievances, and to process returns of non-conforming unused goods under that Act. Those duties are described in the Return Policy and the Grievance Policy.
A4. Platform Protection — on-platform orders only
Parivan Protection (verified listing process, exchange/refund handling, delivery coordination, and complaint handling) applies only to orders placed and paid for through the Platform. If you contact a Vendor off-platform (Instagram, TikTok, Facebook, WhatsApp, phone or store) and buy directly, that transaction is outside these Terms. We will not mediate, refund, or deliver for it. This is a core rule. It exists because off-platform leakage is how multi-vendor platforms in Nepal have failed.
A5. Conduct
You must not use the Platform to: commit fraud or a criminal offence; harass staff, riders or Vendors; post unlawful, defamatory, obscene, hateful or IP-infringing content; manipulate reviews; threaten the sovereignty or public order of Nepal; place orders you do not intend to accept; or repeatedly refuse COD without lawful reason. We may remove content, cancel orders, convert you to prepaid-only, or terminate the account.
A6. Submissions
Reviews, photos, questions and suggestions you submit may be used by Parivan on the Platform and in marketing, royalty-free, in Nepal and online, with or without your name. You warrant that you own or have rights to the submission and that it is not misleading. We may edit or remove submissions without notice.
A7. Availability
We will try to keep the Platform available, but access may be interrupted for maintenance, force majeure, or third-party failure. We do not warrant uninterrupted or error-free access.
3. PRODUCTS, IMAGES, SIZE AND AI
Apparel is not a standardised commodity. Colour may vary with screen, lighting and dye lot. Measurements are approximate. Fabric hand-feel cannot be fully transmitted by a photograph. These ordinary variations are not, by themselves, defects.
Each apparel listing is required to carry at least one actual product photograph. Additional images may be studio, vendor, or AI-assisted (background removal, ghost mannequin, lighting). AI-assisted images must not change the true colour, pattern, length or structure of the garment. Virtual try-on, where offered, is a visual preview only. It is not a representation that the garment will fit your body, match the on-screen drape, or suit a particular occasion. You remain responsible for selecting size using the size chart and any fit notes.
If a product is materially different from the listing (wrong item, damaged, defective, or a difference that a reasonable buyer would consider a mismatch with the disclosed description), your remedies are those in the Return, Exchange and Refund Policy, including the statutory unused-goods non-conformity right. If the listing was accurate and you simply prefer another size, colour or style, that is a change of preference, not a defect.
4. ORDERS, PRICE AND PAYMENT
Prices are in Nepalese Rupees and, unless a listing states otherwise, inclusive of applicable VAT. Delivery charges are shown at checkout. An item in the cart is not a reserved price or reserved stock. We and the Vendor may correct obvious pricing errors and cancel the affected order before dispatch, with no charge to you.
Your order is an offer to the Vendor. A contract of sale is formed when the order is confirmed and/or the product is dispatched, as communicated to you. Confirmation messages before dispatch are acknowledgements only. The Vendor or Parivan may cancel before dispatch for stock error, suspected fraud, undeliverable address, or failure to verify the order after reasonable attempts. If you have prepaid, we will refund the prepaid amount in accordance with the Refund Policy.
Payment methods are those listed at checkout from time to time, which may include Cash on Delivery (cash or, where enabled, card-on-delivery via the rider) and prepaid methods (e-wallet, bank transfer, card via a payment provider). Parivan does not store full card data. For COD you must be reachable, inspect the parcel as far as reasonably possible at the door, and pay the stated amount in full on handover. Repeated non-acceptance, fake addresses, or unpaid CODs entitle us to refuse future COD, require prepaid, recover reverse-logistics cost, and suspend the account.
Promotional vouchers are single-use, non-cash, non-transferable, subject to minimum-basket and validity rules, and may be withdrawn. Misuse is a breach of these Terms.
5. DELIVERY
Delivery is described in the Shipping and Delivery Policy. During the pilot, service is focused on Kathmandu Valley. Timelines are estimates, not guarantees. Risk in the goods passes to you on delivery and acceptance (or, if you unreasonably refuse a conforming delivery, on the first documented unsuccessful attempt after we have given you a reasonable chance to receive it). Title passes from the Vendor to you on delivery and payment (for COD, on payment; for prepaid, on delivery).
6. RETURNS, EXCHANGE AND REFUND
All returns, exchanges and refunds are governed by the Return, Exchange and Refund Policy, which forms part of these Terms. In summary, and without limiting that Policy: inspect at delivery; raise damaged / wrong / defective / material-mismatch claims within 3 days of delivery with photographs or video; keep the garment unused, unwashed, with tags and original packing; change of mind and size preference are handled by exchange or store credit first; statutory non-conformity of unused undamaged goods is honoured by replacement of equal value or a full refund including tax, without extra return charges; intimate, custom, clearance and hygiene items are restricted except for damage or wrong item.
B. DISCLAIMER
To the maximum extent permitted by the laws of Nepal, and without excluding any right that cannot lawfully be excluded:
· The Platform, listings and services are provided on an “as is” and “as available” basis.
· Parivan does not warrant that a particular garment will fit you, match an on-screen colour exactly, or meet a subjective styling expectation, where the listing was accurate.
· Parivan does not manufacture Vendor goods and does not give a manufacturer’s warranty unless a listing expressly says that Parivan is the seller.
· Parivan does not warrant the continuous availability of any SKU, the accuracy of every Vendor-supplied statement, or the conduct of third-party payment or logistics providers, except that Parivan will process grievances and non-conformity returns as required by law and these Policies.
· Virtual try-on, size charts and “complete the look” suggestions are guidance, not professional advice and not a guarantee.
· Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any duty or remedy under the Electronic Commerce Act, 2081 or the Consumer Protection Act, 2075 that cannot be excluded.
7. LIMITATION OF LIABILITY
Subject to the non-excludable matters in Section B: (a) Parivan is not liable for indirect, incidental, special or consequential loss, loss of profit, data, goodwill, or anticipated savings; (b) Parivan’s total aggregate liability arising out of any order, whether in contract, tort or otherwise, is limited to the amount paid or payable for that order; (c) Parivan is not liable for delay or failure caused by force majeure, including bandh, general strike, landslide, flood, earthquake, epidemic, failure of electricity or public internet, act of government, or failure of a third-party carrier or payment system outside reasonable control; (d) you release Parivan from claims to the extent they arise solely from the Vendor’s product, packing or listing, after Parivan has performed its intermediary duties (investigation, decision, and processing of any approved exchange or refund). This release does not stop you from pursuing the Vendor, and does not stop Parivan from pursuing the Vendor.
8. INDEMNITY
You shall indemnify and hold harmless Parivan, its officers, employees and agents from claims, losses, penalties and reasonable legal costs arising out of your breach of these Terms, your misuse of the Platform, your unlawful content, or your fraud or COD abuse, except to the extent caused by Parivan’s own fraud or gross negligence.
C. TERMINATION
You may stop using the Platform at any time. We may, without prior notice where reasonably necessary, suspend or terminate your account, cancel open offers, and refuse service if you: (a) breach these Terms or any Policy; (b) pose a fraud, abuse or chargeback risk; (c) repeatedly refuse delivery or file unfounded claims; (d) insult or threaten staff, riders or Vendors; (e) become insolvent; or (f) if we are required by law or cease the service. Accrued payment, refund, indemnity and confidentiality obligations survive. Any termination does not affect orders already accepted except as the Policies allow. If you are dissatisfied, your exclusive remedy (save for non-excludable statutory rights) is to stop using the Platform and, where applicable, to use the Grievance Policy.
D. WAIVER
If we do not enforce a right on one occasion, that is not a waiver of that right on any other occasion. Any waiver must be in writing (including email from an authorised Parivan address) to be effective. You acknowledge that Parivan is a private commercial enterprise entitled to operate the Platform, including ranking, search, and merchandising, in a manner it considers fair and lawful. Search order and badges are not a warranty and may change.
9. INTELLECTUAL PROPERTY
Parivan names, logos, UI, original photographs, copy and software are owned by Parivan or its licensors. Vendors retain their brand rights. You may not use Parivan marks without written consent. IP complaints: follow the Acceptable Use, Reviews and Content Policy and write to [LEGAL EMAIL].
10. THIRD PARTIES
The Platform may contain Vendor stores and links to payment or social services. Those parties have their own terms. We are not responsible for their independent sites. We may share order-necessary data with them as described in the Privacy Policy.
11. COMMUNICATIONS
You consent to operational communications by phone, SMS, email, in-app message or messaging apps regarding your account and orders. Marketing messages may be opted out. You must keep a reachable Nepalese mobile number on the account.
12. COMPLAINTS
Please use the support channels first. Statutory grievances are handled under the Grievance Redressal Policy. The Grievance Officer will acknowledge and decide within 15 days as required by the Electronic Commerce Act, 2081.
13. CHANGES
We may amend these Terms by posting a new version. The version in force at the time you placed the relevant order applies to that order, except where a change is required by law (in which case it may apply earlier). Continued use of the Platform after posting constitutes acceptance of the updated Terms for future use.
14. SEVERABILITY
If any provision is held invalid, the remaining provisions continue. A court may modify an invalid provision to the minimum extent needed to make it valid while preserving intent.
15. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of Nepal. The parties will first attempt to resolve disputes amicably, including through the Grievance Officer. Failing that, the courts at Kathmandu, Nepal have exclusive jurisdiction. Nothing prevents a consumer from filing a complaint before a Consumer Court or the Department as Nepal law allows.
16. CONTACT
Support: [SUPPORT EMAIL] / [SUPPORT PHONE]. Legal: [LEGAL EMAIL]. Grievance Officer: [GRIEVANCE OFFICER NAME], [GRIEVANCE OFFICER EMAIL], [GRIEVANCE OFFICER PHONE]. Postal: [REGISTERED OFFICE ADDRESS, KATHMANDU].
DOCUMENT CONTROL
This document is issued by the operator of the Parivan Platform for use in Nepal only. It should be read with the other Parivan legal documents in force at the time of the relevant order or onboarding. If there is a conflict between a promotional statement and this document, this document prevails. If there is a conflict between this document and a mandatory provision of Nepalese law, the mandatory provision prevails.
This pack is prepared as a working legal draft aligned with the Electronic Commerce Act, 2081 (2025), the Consumer Protection Act, 2075 (2018), the Individual Privacy Act, 2075 (2018), the Electronic Transactions Act, 2063 (2008), and the Companies Act, 2063 (2006), as commonly applied to a Nepal-only intermediary marketplace.
